Purchases & Payments
Company bills you through an online billing account for purchases of products and/or services. You agree to pay Company all charges at the prices then in effect for the products you or other persons using your billing account may purchase, and you authorize Company to charge your chosen payment provider for any such purchases. You agree to make payment using that selected payment method. Company reserves the right to correct any errors or mistakes in pricing that it makes even if it has already requested or received payment. Company may change prices at any time. All payments shall be in U.S. dollars.
You may not access or use the Website for any other purpose other than that for which the Company makes it available. The Website may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by the Company.
Regarding Your Registration
By using the Company Services, you represent and warrant that:
all registration information you submit is truthful and accurate;
you will maintain the accuracy of such information;
you will keep your password confidential and will be responsible for all use of your password and account;
you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use this Website; and
your use of the Company Services does not violate any applicable law or regulation.
You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Website’s registration form and (b) maintain and promptly update registration data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Company has the right to suspend or terminate your account and refuse any and all current or future use of the Website (or any portion thereof).
Accuracy of Information and Corrections
While we use reasonable efforts to furnish accurate and up-to-date information, we do not warrant that any information contained in or made available through this website is complete or error-free.We assume no liability or responsibility for any errors or omissions in the content of this website or such other materials or communications. Company reserves the right to correct any errors, inaccuracies or omissions and to change or update the information at any time, without prior notice.
Termination of Registered Agent Services
You can cancel/terminate your registered services at any time. There are no fees to cancel. Simply email us at email@example.com and STC will resign as your registered agent on file with the Texas Secretary of State. It is YOUR responsibility to update your company's new RA's information via the Secretary of State's website using form 401-Statement of Change of Registered Office/Agent.
STC reserves the right to cancel/terminate your registered agent services, if full payment is not timely received by STC for registered agent renewals.
If annual services are not renewed, STC will NOT attempt to charge your card without your consent.
You are fully responsible for any and all consequences related to the termination of registered agent service by STC. STC, and its subsidiaries, directors, officers, employees, affiliates, successors, assigns, agents, or representatives, are NOT liable or responsible for any damage or inconvenience caused or alleged to be caused by termination.
Upon termination you acknowledge and agree that:
You release any and all liability, duty, or obligation of any kind that STC has to notify, forward, or re-mail documents that we receive for you or your company(s) about lawsuits or any other type of mail that we may receive. Even if STC’s office address is still listed on any part of the corporate filing, or if STC is still listed as the registered agent; and
If STC is still listed as the registered agent, or our address is still being listed, we have the right to remove ourselves and our address, which could put your company(s) in default, which may result in your company(s) to lose its license, good standing, and/or approval to perform work by various agencies.
Registered Agent Service Renewals & Billing
STC does NOT automatically renew your registered agent service at the end of the initial (1 year) term. We give YOU the option to decide if you want to renew. We will send at minimum (3) reminder emails to your email address on record before your due date, giving you the opportunity to decide if you want to renew our Registered Agent services for another year. If so, you can easily submit payment via these reminders.
We do this so that YOU can decide if YOU want to cancel or renew your services and to AVOID unwanted recurring automatic charges.
Third Party Websites and Content
For your convenience, this website may contain hyperlinks to websites and servers maintained by third parties. We do not control, evaluate, endorse or guarantee content found in those sites. We do not assume any responsibility or liability for the actions, products, services and content of these sites or the parties that operate them. Your use of such sites is entirely at your own risk. Any and all links to third party vendors within this site do not constitute an endorsement or affiliation with Strategic Training and Consulting, LLC.
Any purchases you make through Third Party Websites will be through other websites and from other companies, and STC takes no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party.
STC Does Not Provide Legal Advice or Counsel
The information contained within this website and STC’s documents, articles, blogs, and via email and phone correspondence is provided for informational purposes only and is not intended to substitute for obtaining legal, accounting, tax, or financial advice from a licensed attorney, accountant, or other professional. STC completes business filings and registered agent services at the direction of the individual or authorized company representative. Therefore, STC does not provide counsel or advice on the type of business/entity filings to submit an application for. We submit business and entity formation filings with the information provided by the individual or company representative.
Electronic Records and Signatures
STC may need to file documents on your behalf so you consent to us affixing your electronic or hard copy signature in order to file documents on your behalf. This may include business and entity filings with state and federal agencies (including but not limited to nonprofit, LLC, PLLC, Corporation business filings with local and state government agencies, as well as for Employer Identification Number (EIN) applications with the Internal Revenue Service).
Registered Agent Services
We do not offer refunds for terminated or canceled registered agent services. This Service is purchased and renewed on an annual basis. Registered Agent services can be canceled at any time.
Business Filings and State Fees: We do not offer refunds for payments made on your behalf to the state. All funds paid to state agencies including but not limited to state filing fees and state late fees are nonrefundable (example: business formation filing fees made to the Secretary of State, annual report filings and late fee payments made to The Texas Comptroller’s Office) on behalf of individuals and company representatives.
Authorization to Receive Service of Process & Other Legal Documents
As your registered agent, STC may need to accept a variety of legal documents on your behalf and upload them into the online account we provide you. You agree that STC can open, scan, upload and transmit the legal documents into your online client portal.
You also understand that legal documents/mail differ from regular business mail/documents. STC is not responsible for accepting non-legal documents or regular business mail. Accordingly, we do not assume liability to you, or any third party, for loss of mail or other items which are not legal documents. You acknowledge that regular business mail should be received by your business address, virtual address or home address, if applicable.
